Terms of Service

1. Acceptance of Terms
By registering for an account, initiating a subscription, connecting your commerce database, or querying the NexorAIQ API, you acknowledge that you have read, understood, and agree to be bound by this Terms of Service Agreement (the "Agreement"). If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity.
2. Description of Service
NexorAIQ provides a cloud-based multi-tenant search engine SaaS platform ("Service"). The Service features AI-driven semantic search, typographical tolerance, synonym mapping, product pinning, query recommendations, and revenue dashboards. Plan tiers (Starter, Growth, Professional, Enterprise) are subject to specific limits regarding search queries, RPS caps, and maximum permitted store views.
3. Accounts & Security
To utilize the Service, you must create a login by providing complete and accurate information. You are solely responsible for maintaining the confidentiality of your login credentials, password, and connection keys (such as `nxk_live_...` secrets). You agree to accept responsibility for all activities that occur under your account.
4. API & Indexing Usage
Your integration must comply with the technical requirements of the NexorAIQ SDK and REST APIs. You agree not to exceed the API rate limits associated with your tier (e.g. 50 RPS for Starter, 200 RPS for Growth, 500 RPS for Professional). If your request volume consistently exceeds limits, we reserve the right to throttle your traffic.
5. Fees, Trials & Billing
Selected plans receive a 14-day free trial. You authorize NexorAIQ to charge your card on file at the end of the trial period unless you cancel beforehand. Plan fees are billed on a recurring basis. All fees are processed securely via our payment gateway. All fees are non-refundable except as required by law.
6. Intellectual Property
NexorAIQ retains all rights, title, and interest in and to the AI Commerce Search technology, including search index structures and machine learning scoring algorithms. You retain all rights to the product catalog data, description fields, pricing lists, and customer interaction logs imported into the Service.
7. Term & Termination
This Agreement begins when you register an account and remains in effect until terminated. You may cancel your subscription at any time within your dashboard settings. We reserve the right to suspend or terminate your account immediately upon material breach or non-payment.
8. Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. IN NO EVENT SHALL NEXORAIQ INC. BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU TO NEXORAIQ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
